Interpretation

The words of which the initial letter is capitalized have meanings defined under the following conditions. The following definitions shall have the same meaning regardless of whether they appear in singular or in plural.

Definitions

For the purposes of these Terms and Conditions:

  • Affiliate means an entity that controls, is controlled by or is under common control with a party, where “control” means ownership of 50% or more of the shares, equity interest or other securities entitled to vote for election of directors or other managing authority.
  • Country refers to: Punjab, India
  • Company (referred to as either “the Company”, “We”, “Us” or “Our” in this Agreement) refers to CareCosmo India Pvt. Ltd., Inside Bhalla Hospital, Pakhowal road, Ludhiana, Punjab.
  • Device means any device that can access the Service such as a computer, a cellphone or a digital tablet.
  • Service refers to the Website.
  • Terms and Conditions (also referred as “Terms”) mean these Terms and Conditions that form the entire agreement between You and the Company regarding the use of the Service. This Terms and Conditions agreement has been created with the help of the Terms and Conditions Generator.
  • Third-party Social Media Service means any services or content (including data, information, products or services) provided by a third-party that may be displayed, included or made available by the Service.
  • Website refers to Cosmo Health, accessible from https://cosmohealth.co/
  • You means the individual accessing or using the Service, or the company, or other legal entity on behalf of which such individual is accessing or using the Service, as applicable.

Acknowledgment

These are the Terms and Conditions governing the use of this Service and the agreement that operates between You and the Company. These Terms and Conditions set out the rights and obligations of all users regarding the use of the Service.

Your access to and use of the Service is conditioned on Your acceptance of and compliance with these Terms and Conditions. These Terms and Conditions apply to all visitors, users and others who access or use the Service.

By accessing or using the Service You agree to be bound by these Terms and Conditions. If You disagree with any part of these Terms and Conditions then You may not access the Service.

You represent that you are over the age of 18. The Company does not permit those under 18 to use the Service.

Your access to and use of the Service is also conditioned on Your acceptance of and compliance with the Privacy Policy of the Company. Our Privacy Policy describes Our policies and procedures on the collection, use and disclosure of Your personal information when You use the Application or the Website and tells You about Your privacy rights and how the law protects You. Please read Our Privacy Policy carefully before using Our Service.

Our Service may contain links to third-party web sites or services that are not owned or controlled by the Company.

The Company has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third party web sites or services. You further acknowledge and agree that the Company shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods or services available on or through any such web sites or services.

We strongly advise You to read the terms and conditions and privacy policies of any third-party web sites or services that You visit.

Termination

We may terminate or suspend Your access immediately, without prior notice or liability, for any reason whatsoever, including without limitation if You breach these Terms and Conditions.

Upon termination, Your right to use the Service will cease immediately.

Limitation of Liability

Notwithstanding any damages that You might incur, the entire liability of the Company and any of its suppliers under any provision of this Terms and Your exclusive remedy for all of the foregoing shall be limited to the amount actually paid by You through the Service or 100 USD if You haven’t purchased anything through the Service.

To the maximum extent permitted by applicable law, in no event shall the Company or its suppliers be liable for any special, incidental, indirect, or consequential damages whatsoever (including, but not limited to, damages for loss of profits, loss of data or other information, for business interruption, for personal injury, loss of privacy arising out of or in any way related to the use of or inability to use the Service, third-party software and/or third-party hardware used with the Service, or otherwise in connection with any provision of this Terms), even if the Company or any supplier has been advised of the possibility of such damages and even if the remedy fails of its essential purpose.

Some states do not allow the exclusion of implied warranties or limitation of liability for incidental or consequential damages, which means that some of the above limitations may not apply. In these states, each party’s liability will be limited to the greatest extent permitted by law.

“AS IS” and “AS AVAILABLE” Disclaimer

The Service is provided to You “AS IS” and “AS AVAILABLE” and with all faults and defects without warranty of any kind. To the maximum extent permitted under applicable law, the Company, on its own behalf and on behalf of its Affiliates and its and their respective licensors and service providers, expressly disclaims all warranties, whether express, implied, statutory or otherwise, with respect to the Service, including all implied warranties of merchantability, fitness for a particular purpose, title and non-infringement, and warranties that may arise out of course of dealing, course of performance, usage or trade practice. Without limitation to the foregoing, the Company provides no warranty or undertaking, and makes no representation of any kind that the Service will meet Your requirements, achieve any intended results, be compatible or work with any other software, applications, systems or services, operate without interruption, meet any performance or reliability standards or be error free or that any errors or defects can or will be corrected.

Without limiting the foregoing, neither the Company nor any of the company’s provider makes any representation or warranty of any kind, express or implied: (i) as to the operation or availability of the Service, or the information, content, and materials or products included thereon; (ii) that the Service will be uninterrupted or error-free; (iii) as to the accuracy, reliability, or currency of any information or content provided through the Service; or (iv) that the Service, its servers, the content, or e-mails sent from or on behalf of the Company are free of viruses, scripts, trojan horses, worms, malware, timebombs or other harmful components.

Some jurisdictions do not allow the exclusion of certain types of warranties or limitations on applicable statutory rights of a consumer, so some or all of the above exclusions and limitations may not apply to You. But in such a case the exclusions and limitations set forth in this section shall be applied to the greatest extent enforceable under applicable law.

Governing Law

The laws of the Country, excluding its conflicts of law rules, shall govern this Terms and Your use of the Service. Your use of the Application may also be subject to other local, state, national, or international laws.

Disputes Resolution

If You have any concern or dispute about the Service, You agree to first try to resolve the dispute informally by contacting the Company.

For European Union (EU) Users

If You are a European Union consumer, you will benefit from any mandatory provisions of the law of the country in which You are resident.

United States Legal Compliance

You represent and warrant that (i) You are not located in a country that is subject to the United States government embargo, or that has been designated by the United States government as a “terrorist supporting” country, and (ii) You are not listed on any United States government list of prohibited or restricted parties.

Severability and Waiver

Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect.

Waiver

Except as provided herein, the failure to exercise a right or to require performance of an obligation under these Terms shall not affect a party’s ability to exercise such right or require such performance at any time thereafter nor shall the waiver of a breach constitute a waiver of any subsequent breach.

Translation Interpretation

These Terms and Conditions may have been translated if We have made them available to You on our Service. You agree that the original English text shall prevail in the case of a dispute.

Changes to These Terms and Conditions

We reserve the right, at Our sole discretion, to modify or replace these Terms at any time. If a revision is material We will make reasonable efforts to provide at least 30 days’ notice prior to any new terms taking effect. What constitutes a material change will be determined at Our sole discretion.

By continuing to access or use Our Service after those revisions become effective, You agree to be bound by the revised terms. If You do not agree to the new terms, in whole or in part, please stop using the website and the Service.

END USER LICENSE AGREEMENT (EULA)

  1. ACCEPTANCE OF TERMS
    By downloading, installing, accessing, or using the Cosmo Health mobile application (“App”),
    you (“User” or “you”) agree to be bound by this End User License Agreement (“EULA”) and all
    terms incorporated by reference. This EULA is a legal agreement between you and CareCosmo
    India Private Limited (“Company,” “we,” “us,” or “our”).
    IF YOU DO NOT AGREE TO ALL TERMS OF THIS EULA, DO NOT USE THE APP.
  2. EMERGENCY SERVICES – CRITICAL DISCLAIMERS
    2.1 Nature of Emergency Services
    The Cosmo Health App provides technology-facilitated emergency dispatch services
    exclusively within partnered residential societies and their immediate vicinity. WE ARE NOT A
    DIRECT HEALTHCARE PROVIDER and do not replace traditional emergency services.
    2.2 Emergency Service Limitations and Warnings
    CRITICAL: THIS APP IS NOT A SUBSTITUTE FOR CALLING LOCAL EMERGENCY NUMBERS
    (108,102, OR OTHER REGIONAL EMERGENCY SERVICES).
    ● Geographic Limitations: Emergency services are available ONLY within partnered
    societies or their immediate vicinity, NOT city-wide
    ● Response Time: While we target 7-minute response times, actual arrival may vary due
    to traffic, weather, medical staff availability, or other factors beyond our control
    ● Location Accuracy: GPS location data may be inaccurate due to device limitations,
    environmental factors, network connectivity, or technical malfunctions
    ● Service Availability: Emergency services depend on ambulance availability, medical
    staff presence, and operational status around your society, although we try to
    dynamically augment vehicles and staff based on predictive patterns.
    ● Medical Scope: Initial stabilization only; serious emergencies may require immediate
    transfer to hospital facilities
    2.3 Emergency Dispatch Process and Location Services
    App-Based Requests:
    ● Location is determined via GPS technology and cross-verified with your registered
    society address
    ● GPS accuracy may vary based on device capabilities, network strength, and
    environmental conditions
    ● Location data is immediately transmitted to our dispatch system and nearest available
    ambulance
    Hotline-Based Requests:
    ● Location is confirmed verbally and automatically detected through registered phone
    number
    ● Default location is your registered society address
    ● Manual verification may be required in case of discrepancies
    Location Data Transmission:
    ● Your precise location coordinates are transmitted to authorized emergency medical staff
    and ambulance personnel
    ● Emergency services receive real-time location data to facilitate rapid response
    ● Location information is shared only with authorized medical personnel for emergency
    response purposes
    2.4 USER RESPONSIBILITIES IN EMERGENCIES
    ● Primary Emergency Contact: ALWAYS call local emergency services (108/102) for
    life-threatening situations
    ● Backup Communication: Maintain alternative communication methods if app fails
    ● Location Verification: Ensure your registered address is current and accurate
    ● Medical Information: Keep critical medical information updated in your profile
    ● Device Readiness: Maintain charged device and active internet connectivity
  3. HEALTHCARE SERVICE DISCLAIMERS
    3.1 Technology Platform and Service Facilitation
    CareCosmo India Private Limited operates as a technology and facilitation platform that may
    also deploy trained medical staff for immediate first response services. Our role includes:
    Technology Platform Services:
    ● Connecting users with nearby hospitals for basic medical inquiries
    ● Facilitating appointment booking and medical service discovery
    ● Providing digital health management tools
    Direct Service Components:
    ● Deploying 24×7 trained medical staff in partnered societies for immediate first response
    ● Providing on-site medical assistance and stabilization services
    ● Coordinating emergency medical response within society premises
    We do not:
    ● Provide comprehensive medical treatment or diagnosis beyond first aid and stabilization
    ● Own or operate hospitals, clinics, or medical facilities
    ● Make complex medical decisions requiring specialized expertise
    ● Replace the need for hospital-based medical care
    3.2 Medical Service Providers
    Medical services are rendered through a combination of:
    Cosmo Health Direct Services:
    ● Trained medical staff deployed by Cosmo Health for immediate first response
    ● On-site medical assistance and emergency stabilization within society premises
    ● 24×7 medical support staff stationed in partnered societies
    Third-Party Partner Providers:
    ● Licensed hospitals and medical facilities
    ● Independent, qualified doctors and medical professionals
    ● NABL/NABH-certified laboratories
    ● Licensed pharmacies and healthcare providers
    Medical Responsibility:
    ● For services provided by our deployed staff: Cosmo Health assumes responsibility for
    first aid and immediate response care
    ● For services provided by partner hospitals, doctors, and labs: Medical responsibility rests
    with the respective healthcare provider
    ● Complex medical decisions and specialized treatments remain the responsibility of
    qualified medical professionals and partner facilities
    3.3 Hospital and Destination Protocols
    ● Destination Hospitals: Pre-identified partner hospitals based on location and
    emergency type
    ● Hospital Selection: Based on emergency severity, patient preference, and facility
    availability
    ● Master Service Agreements: All partners operate under formal agreements ensuring
    authorized collaboration
    ● Private Healthcare Focus: We do not integrate with government/public hospitals
  4. LOCATION DATA AND PRIVACY
    4.1 Location Information Collection
    ● GPS coordinates for emergency dispatch and service delivery
    ● Registered society address for service verification
    ● Real-time location during active emergency requests
    ● Historical location data for service improvement
    4.2 Location Data Usage
    Your location data is used exclusively for:
    ● Emergency service dispatch and coordination
    ● Verifying service availability in your area
    ● Connecting you with nearest medical providers
    ● Improving emergency response times
    4.3 Location Data Sharing
    Location information is shared only with:
    ● Authorized emergency medical personnel during active emergencies
    ● Partner hospitals and medical facilities for service delivery
    ● Ambulance services for dispatch coordination
    ● We do not sell or share location data for commercial purposes
  5. SERVICE LIMITATIONS AND LIABILITY
    5.1 No Warranty of Service Availability
    ● Services depend on partner availability and operational status
    ● Network connectivity and technical infrastructure
    ● Medical staff and ambulance availability
    ● Weather conditions and external factors
    5.2 Limitation of Liability
    TO THE MAXIMUM EXTENT PERMITTED BY LAW:
    For Services Provided by Our Deployed Staff:
    ● We assume responsibility for first aid and immediate response care provided by our
    trained medical personnel
    ● We are liable for negligence or misconduct by our directly employed medical staff
    ● Our liability is limited to reasonable medical expenses directly resulting from our staff’s
    actions
    For Third-Party Provider Services:
    ● We are not liable for medical outcomes, treatment decisions, or healthcare results from
    partner providers
    ● Medical responsibility for hospital care, specialist treatment, and diagnostics rests with
    respective providers
    General Limitations:
    ● We do not guarantee emergency response times or service availability
    ● We are not responsible for GPS inaccuracies or location service failures
    ● Liability for technology platform services is limited to the cost of app service
    5.3 Indemnification
    You agree to indemnify and hold harmless CareCosmo India Private Limited from claims arising
    from:
    ● Your misuse of emergency services or platform features
    ● Reliance on app location data over professional emergency services
    ● Medical decisions made by third-party healthcare providers (hospitals, independent
    doctors, labs)
    ● Any violation of this EULA or applicable laws
    ● Failure to follow instructions provided by our deployed medical staff during emergencies
    Note: This indemnification does not apply to claims arising from negligence or misconduct by
    our directly employed medical staff.
  6. USER OBLIGATIONS AND ACCEPTABLE USE
    6.1 Accurate Information
    ● Provide accurate personal and medical information
    ● Keep registered address and contact details current
    ● Update medical conditions and emergency contact information
    ● Verify location data before submitting emergency requests
    6.2 Proper Emergency Use
    ● Use emergency services only for genuine medical emergencies
    ● Do not abuse or misuse emergency dispatch features
    ● Follow instructions from medical personnel
    ● Maintain appropriate conduct with healthcare providers
    6.3 Prohibited Activities
    ● Using the app for non-emergency medical requests as emergencies
    ● Providing false or misleading information
    ● Interfering with emergency service operations
    ● Attempting to bypass geographic service limitations
  7. TECHNICAL REQUIREMENTS AND DEVICE
    COMPATIBILITY
    7.1 Device Requirements
    ● Compatible smartphone with GPS capability
    ● Active internet connection (Wi-Fi or cellular data)
    ● Current operating system version as specified in app requirements
    ● Location services enabled and app permissions granted
    7.2 Technical Limitations
    ● App functionality depends on device performance and network connectivity
    ● GPS accuracy varies based on environmental and technical factors
    ● Service may be interrupted due to technical maintenance or updates
  8. PAYMENT AND BILLING
    8.1 Service Fees
    Technology Platform Services:
    ● Basic medical inquiry and hospital discovery services may involve charges as per your
    service arrangement
    ● Payment terms vary based on your residential society’s partnership agreement
    Direct Medical Services:
    ● First response and on-site medical assistance fees are determined by your service level
    and society arrangement
    ● Emergency medical services provided by our deployed staff are billed according to
    agreed service terms
    Third-Party Services:
    ● Medical service fees from hospitals, doctors, and labs are billed separately by respective
    healthcare providers
    8.2 Billing and Payment Responsibility
    For Our Direct Services:
    ● Medical bills for services provided by our deployed staff are generated by Cosmo Health
    ● Payment disputes for our direct services should be addressed with our customer
    support
    For Third-Party Services:
    ● Medical bills from hospitals, doctors, and labs are generated directly by respective
    providers
    ● We facilitate payment processing but are not responsible for third-party medical billing
    disputes
    ● Refunds for partner provider services must be sought directly from the respective
    provider, Cosmo Health will facilitate the process though
  9. DATA PROTECTION AND PRIVACY
    9.1 Personal Health Information
    ● We handle health data in compliance with applicable privacy laws
    ● Medical information is shared only with authorized healthcare providers
    ● Data security measures protect against unauthorized access
    9.2 Data Retention
    ● Emergency dispatch records maintained as per legal requirements
    ● Medical data handled according to healthcare provider policies
    ● Location history retained for service improvement purposes
  10. MODIFICATIONS AND UPDATES
    10.1 EULA Updates
    ● We reserve the right to modify this EULA with notice to users
    ● Continued use of the app constitutes acceptance of updated terms
    ● Significant changes will require explicit user consent
    10.2 Service Changes
    ● Emergency service coverage may change based on partner agreements
    ● New features and services may be added with updated terms
    ● Service discontinuation will be communicated with reasonable notice
  11. GOVERNING LAW AND DISPUTE RESOLUTION
    This EULA is governed by the laws of India. Any disputes shall be resolved through:

  16. SEVERABILITY AND ENTIRE AGREEMENT
    If any provision of this EULA is deemed invalid or unenforceable, the remaining provisions remain
    in full effect. This EULA, along with our Privacy Policy, constitutes the entire agreement between
    you and CareCosmo India Private Limited regarding the Cosmo Health app.

  18. ACKNOWLEDGMENT
    BY USING THE COSMO HEALTH APP, YOU ACKNOWLEDGE THAT:
    ● You have read and understood this EULA
    ● You agree to all terms and conditions outlined above
    ● You understand the limitations of our emergency services
    ● You will use traditional emergency services (108/102) for life-threatening situations
    ● You accept that we are a technology platform, not a healthcare provider
